Constitution of the Foundation in aid of Persons Suffering as a result of accidents "Dolina Zdrowia" in Skarszewy, dated 15 March 2007
Acting on the basis of article 5 of the Act passed on 6 April 1984 concerning foundations (recorded in the Polish Parliamentary Diary of Laws for 2001 number 46 point 203 including changes) the founder sets up this constitution under the name "The Foundation in aid of Persons Suffering as a result of accidents" (Dolina Zdrowia) in Skarszewy hereinafter referred to as "the Foundation".

CHAPTER I - NAME LOCATION AND TERRITORY COVERD BY THE ACTIVITY OF THE FOUNDATION

§ 1

The Foundation is called "the Foundation in aid of Persons Suffering as a result of accidents".

§ 2

The Foundation is located in the town of Skarszewy, 12 Wichrowa Street, 83-250 Skarszewy, Poland.

§ 3
  1. The Foundation carries out its activities on the territory of the Republic of Poland.
  2. The Foundation may act outside the territory of Poland if this activity serves to further the Foundation's statutory aims and if it remains in accord with the laws of Poland and the other country.
§ 4

The Foundation's activity do not have a statutory termination date.

§ 5

The Foundation is overseen by the starosta of Starogard and by the minister of Health and Social Care.

CHAPTER II - AIMS COMPETENCE AND FORMS OF ACTION BY THE FOUNDATION

§ 6

The aim of the Foundation is:

  1. Building of a Rehabilitation and Rest Centre on the grounds passed to the Foundation by the founder.
  2. Organisation and equipping with specialist instrumentation of the Centre for Rehabilitation and Rest.
  3. Organisation of a Centre for Active Rehabilitation and sport - including institutional support and personnel.
  4. Organisation of holiday rest.
  5. Rehabilitation and medical care of the victims of accidents.
  6. Carrying out a range of forms of therapy and active rehabilitation especially motion therapy hippotherapy dog therapy and phytotherapy.
§ 7

The Foundation may set up branches offices and other local bodies in the territories where it operates.
The Foundation co-operates with other organisations whose activities are of a like nature.

§ 8
  1. In carrying out its statutory aims the Foundation co-operates with national government and administration local government authorities social and trade organisations higher schools national institutions and other legal and physical entities in Poland and abroad.
  2. The Foundation may be a member of social and trade organisations which it joins on the basis of agreements.
  3. The Foundation may carry out separate profitable and non-profitable activities of public benefit for the purpose of furthering its aims.
  4. The Foundation carries out profitable activities of public benefit as follows:
    1. Tourism and relaxation for young people and children in accord with article 4 of section 12 of the act mentioned erlier.
    2. Activities that provide technical educational computing or financial support to non-governmental organisations or entities mentioned in article 3 section 3 within the bounds listed in points 1-23 of the act - in accord with article 3 section 1 point 24 of the act mentioned earlier.
  5. The Foundation carries out non-profit-making activities of public benefit as follows:
    1. charitable activities in accord with article 4 section 1 point 2 of the act mentioned earlier.
    2. protection and promotion of good health in accord with article 4 section 1 point 5 of the act mentioned above.
    3. popularising physical culture and sport in accord with article 4 section 1 point 14 of the act mentioned above.
    4. promting and organising volunteer activity in accord with article 4 section 1 point 12 of the act mentioned above.
  6. The Foundation aims to establish contacts and co-operation with like centres in Poland and abroad for the purpose of the exchange of experience and of persons profiting from therapy.

CHAPTER III - ASSETS OF THE FOUNDATION

§ 9
  1. The assets of the Foundation comprise the land within the boundary of Wolny Dwor in the parish of Skarszewy marked geodesically as 191/9 as recorded in the land registry KW 50537 maintained by the regional law court of Starogard Gdanski with a surface area of 3255 square metres valued at 65000 PLN.
  2. The means to carry out the aims of the Foundation shall come from:
    1. gifts, donations and wills from Poland and abroad.
    2. interest from capital deposits and shares and other certificates
    3. subsidies and donations from legal entities
    4. income received from collections and public events
    5. income from fixed and mobile assets
§ 10

The Foundation may not:

  1. Make loans or guarantee any debts using assets of the Foundation to members of the Foundation's bodies or executive nor its employees or persons close to them.
  2. Exploit or transfer assets of the Foundation to members of the Foundation's bodies or executive nor its employees or persons close to them on conditions other than those that relate to third parties in particular if such transfer is carried out free of charge or on preferential terms.
  3. Purchase any items or services on special conditions from any entity in which the Foundation's bodies or executive or its employees or persons close to them have any involvement.

CHAPTER III - BOARD OF ADMINISTRATION OF THE FOUNDATION

§ 11
  1. The Board of Administration of the Foundation is called into being by the Founder.
  2. The Board manages the activities of the Foundation and represents it in extrernal relations.
  3. The Board undertakes all resolutions and decisions within its competence and in accord with current law.
  4. The Board is the appropriate body for resolving and undertaking all the affairs of the Foundation.
  5. A Board with one member undertakes decisions.
  6. A Board of two members undertakes resolutions unanimously.
  7. A Board of 3-5 members undertakes resolutions by an absolute majority.
§ 12
  1. The Board has 1 to 5 members.
  2. Decisions concerning the need to make changes in the Board are undertaken by the Founder.
  3. The Founder may remove members of the Board who:
    1. Lose the ability to carry out their duties for health reasons as confirmed by an appropriate medical certificate.
    2. Have unquestionably broken the law and an indictment has been placed in a court of law.
    3. Through their own fault significantly harm the Foundation's assets as recognised or confirmed by a court decision.
    4. Do not perform their duties with sufficient diligence.
  4. In the event that the Founder dies or ceases to be able to undertake legal activities his rights and duties in the matter of nominating and altering the membership of the Board are taken over by his successor nominated previously in a written statement of his will by the Founder.
  5. The statement of the Founder's will should be handwritten in its entirety by the Founder.
  6. The Founder's successor becomes a member of the Board ex officio.
§ 13
  1. The Board is chaired by the Chairman who directs its activities.
  2. Meetings of the Board are called by the Chairman or in his or her absence by his or her deputy.
  3. Invited persons may participate in meetings of the Board and have an advisory vote.
  4. Board metings are minuted and the minutes are signed by the Chairman or his or her deputy and by the taker of the minutes.
  5. The Regulations of the Board as agreed by the Board define the manner in which the Board undertakes its activities and divides its duties among its members.
§ 14
  1. Expressions of the Board's intent are made on ts behalf by the Chairman if the Board comprises one or two members. When the number of members of the Board is three or more, expressions of the Board's intent require the joint action of two members of the Board of whom one must be the Founder.
  2. Legal activity in relation to members of the Board in the name of the Foundation and agreements with them are undertken by the Founder or the Founder's plenipotentiary nominated for this express purpose.
  3. Legal activity in relation to employment change of the conditions of employment or termination of employment by the Foundation is carried out by a person authorised to undertake it by the Board.
§ 15

Specific duties of the Board of the Foundation are

  1. Management of the assets of the Foundation.
  2. Planning and carrying out activities resulting from the aims of the Foundation.
  3. Undertaking activities aimed to increase the assets of the Foundation.
  4. Publicising the aims and principles of the Foundation in the press radio and televison as well as in publications and pointing out opportunities to benefit from the Foundation's help.
  5. Accepting income from wills donations and gifts.
  6. Planning the use of the means and financial and other assets of the Foundation.
  7. Preparation of the report of the Foundation's activity and of a financial report for the preceding year.
  8. Setting up sections representations and other bodies.
  9. Preparation of Regulations and instructions concerning the Foundation's activities.
  10. Agreeing the basis upon which members of the Board and employees of the Foundation will be rewarded for their work.
  11. Reporting to the appropriate national local authority on the activity of the Foundation and its Board and also on how the Foundation's financial and other assets have been used.

CHAPTER IV - LIQUIDATION OF THE FOUNDATION

§ 16
  1. Should the Board decide that it is necessary to terminate the activity of the Foundation it must pass an appropriate resolution.
  2. A resolution to terminate the activity of the Foundation must be undertaken on a absolute majority vote of the full membership of the Board.
  3. Upon the liquidation of the Foundation ownership of the grounds with their constituent parts returns to the Founder who arranges unpaid use of the buildings by a different Foundation or Association of a similar character and with similar aims - as indicated by the Board.
  4. Before liquidation is complete the Board indicates an entity to which the assets of the liquidated Foundation shall be transferred.
  5. Moveable assets of the Foundation are transfered into the ownership of the entity taking over the buildings for unpaid use.

CHAPTER V - TERMINAL RESOLUTIONS

§ 17
  1. This constitution becomes activated on the day when the Foundation is given legal status.
  2. Changes in this constitution are made on the basis of a resolution by the Board passed by a simple majority of the Board in the presence of at least three members of the current Board.
  3. At times when the Board comprises one or two members changes in the constitution are made on the basis of a statement by the Founder.
